These Terms of Service ("Terms") govern your use of the EQlibrium mobile application, website and related services ("EQlibrium," "the Service," "we," "our" or "us"). By creating an account, downloading the app or using EQlibrium in any way, you agree to these Terms. If you do not agree, do not use the Service.
 

1. Eligibility & Accounts

1.1 Age and eligibility

EQlibrium is intended solely for adults. You may use EQlibrium only if you are at least 18 years old. Before you can use the Service, we ask you to confirm your date of birth. We do not permit use by, and do not knowingly collect information from, anyone under 18.
 

EQlibrium is an educational and self-development tool. It is not a therapy app, not a mental health treatment program and not intended for crisis situations.

1.2 Your account
You agree to provide accurate registration information, keep your credentials confidential, be responsible for all activity under your account, and notify us immediately of unauthorized access. You may not share your account or create one using a false identity.
 

We may suspend or terminate accounts that are unsafe, fraudulent, abusive or in violation of these Terms.

2. License & Use of the Service

2.1 Limited license to you
EQlibrium grants you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the app on a device you own or control, for your own personal, non-commercial purposes. You may not copy, modify, distribute, reverse engineer, decompile, rent, sell or sublicense the Service or your account.

Your license to use the app is also governed by Apple's Standard End User License Agreement, which applies to your download and use of EQlibrium from the App Store. These Terms are supplementary to that agreement and govern your use of the Service.

2.2 Purpose of EQlibrium
EQlibrium is designed to help you practice conversations and build emotional intelligence skills through AI-guided roleplay, exercises and feedback. It is an educational and training tool focused on communication skills, confidence and self-reflection.

2.3 Not therapy, not professional advice
EQlibrium does not provide therapy, mental health treatment, medical advice, legal or financial advice, or emergency support. AI-generated responses may be incomplete or wrong. Do not rely on EQlibrium instead of qualified professional advice.

If you are in crisis or think you may harm yourself or someone else, contact local emergency services immediately.

3. Acceptable Use & Community Conduct

You agree not to use EQlibrium to harass or threaten others, generate hateful or sexually explicit content, promote self-harm or violence, practice illegal activity, share others' personal data without consent, bypass our security, or interfere with the Service or other users. We may monitor use as needed to keep the Service safe and may remove content or restrict accounts that violate these rules.

4. User Content & EQ Data

4.1 Definitions
User Content includes anything you say, type or upload — spoken input, text responses and custom scenario inputs. EQ Data includes metrics and materials generated from your use, such as scores, feedback, scenario logs and anonymized usage patterns.
 

4.2 Your rights
You own your User Content. By using EQlibrium, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store and reproduce it to run the Service, generate feedback, improve personalization and maintain security. We do not sell your identifiable content.

4.3 Our rights in EQ Data
We own EQ Data and derived materials, including aggregated communication patterns, de-identified training data, scenario templates and system messages. We may use these to improve our systems, develop new features and support research.

5. Free Access, Subscriptions & Billing

5.1 Free access
EQlibrium provides a limited number of free roleplay sessions so you can try the Service. Free sessions granted to you at sign-up are promotional, have no cash value, and expire 30 days after they are granted. Once your free sessions are used or expire, continued access may require a paid subscription or the purchase of tokens, where offered. We may change the number of free sessions we offer at any time.

5.2 Subscriptions
EQlibrium may offer paid subscriptions. Where these are offered, the title, duration and price of each plan are disclosed at the point of purchase. Pricing may change, but not retroactively.

5.3 Tokens (pay-per-use)

EQlibrium may offer tokens as a one-time purchase for users who prefer to pay only for what they use. One token entitles you to one roleplay session of up to five minutes. Purchased tokens are a one-time purchase, do not auto-renew, and do not expire. Tokens have no cash value, are non-transferable, and are not refundable except as required by law or as provided by the app store through which you purchased them.
 

Promotional or free tokens granted to you at sign-up or as part of an offer are not purchased tokens. They expire 30 days after they are granted, as described in Section 5.1.

5.4 Billing
All payments are processed by the Apple App Store or Google Play Store. Their terms apply.

5.5 Auto-renewal
Subscriptions renew automatically unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.

5.6 Cancellation
Cancel or turn off auto-renew through your Apple Account or Google Play subscription settings. Deleting the app does not cancel your subscription.

5.7 Refunds
Refunds are handled by Apple or Google. EQlibrium does not issue refunds directly unless required by law.

6. AI Interactions & Safety

Our AI is designed to feel natural and emotionally aware, but it may misread tone, give responses that don't fit your situation, or offer advice that isn't appropriate for your context. Use your own judgment and do not rely on EQlibrium for serious personal, professional or medical decisions.
 

Do not use EQlibrium as your only support in situations involving immediate risk of harm, domestic violence, medical emergencies or urgent legal decisions. Contact appropriate professionals or emergency services in those cases.

If you are thinking about harming yourself or someone else, stop using the Service and contact your local emergency number or a crisis line immediately. EQlibrium is not monitored in real time and is not able to respond to emergencies.

7. Termination & Suspension
 

7.1 Our rights
We may suspend or terminate your access if you violate these Terms, misuse the Service or create legal risk. We may also modify or discontinue the Service at any time with reasonable notice.

 

7.2 Your rights
You may delete your account at any time through the app or by contacting support@eqlibrium.ai. After deletion, we will delete or anonymize your personal data as described in our Privacy Policy, except where retention is legally required.

7.3 Effect of termination

If your account is terminated, any unused tokens and any remaining subscription period are forfeited, except where refund is required by law.

 

8. Intellectual Property

 

8.1 Our IP
EQlibrium and all related content — including our name, logo, characters, design, scenarios, software and branding — are protected by copyright, trademark and other laws. You may not use them without our prior written consent.

 

8.2 Feedback
If you send us ideas or suggestions, we may use them without restriction or obligation to you.
 

8.3 Copyright complaints

If you believe content on the Service infringes your copyright, contact legal@eqlibrium.ai with a description of the work, its location, your contact information, and a statement of good-faith belief that the use is unauthorized. We will investigate and remove infringing content where appropriate.

 

9. Disclaimers

The Service is provided "as is" and "as available." We make no guarantees about accuracy, reliability, availability or outcomes. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

 

10. Limitation of Liability

To the fullest extent permitted by law, EQlibrium and its founders, employees and partners will not be liable for indirect, incidental, consequential, special or punitive damages. Our total liability is limited to the amount you paid in the 12 months before the event giving rise to the claim. Free users' sole remedy is to stop using the Service.
 

11. Indemnification

You agree to indemnify, defend and hold harmless EQlibrium Inc. and its founders, officers, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with your use of the Service, your User Content, your violation of these Terms, or your violation of any law or the rights of a third party. Nothing in this section limits any right you have that cannot be waived by law.

12. Dispute Resolution & Arbitration (US & Canada)

12.1 Informal resolution
Before filing any formal claim, email legal@eqlibrium.ai with your name, contact information, a description of the dispute and what you are asking for. We will try to resolve it within 30 days.

 

12.2 Binding arbitration
Unresolved disputes will be settled by binding individual arbitration administered by the AAA under its Consumer Arbitration Rules, in Wilmington, Delaware, or by remote hearing.
 

12.3 No class actions
Claims may only be brought individually. If this clause is unenforceable, the arbitration section will not apply and disputes will be resolved in court.

12.4 Opt-out
You may opt out within 30 days of accepting these Terms by emailing legal@eqlibrium.ai with your name, account email and a statement opting out.

12.5 Limits on this Section

Nothing in this Section 12 waives any right you cannot waive by law. The arbitration requirement and class-action waiver do not apply to the extent they are prohibited or unenforceable under the consumer-protection laws of your province, state, or country of residence, including for consumers in certain Canadian provinces.

13. Governing Law & Venue

For US and Canada residents: these Terms are governed by the laws of the State of Delaware. Non-arbitrated disputes will be resolved in the state or federal courts located in Wilmington, Delaware.
 

For residents outside the US and Canada: these Terms are governed by the laws of England and Wales. Courts with jurisdiction under those laws will have exclusive jurisdiction for non-arbitrated disputes. Nothing in this section limits rights you may have under mandatory consumer protection laws in your home country.

14. Changes to These Terms

We may update these Terms when we add features or must comply with new laws. Material changes will be communicated via in-app notice or email. Continued use after changes take effect means you accept the updated Terms.

15. Survival

Sections 4 (User Content & EQ Data), 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 12 (Dispute Resolution & Arbitration), 13 (Governing Law & Venue) and 16 (Miscellaneous) survive any termination or expiration of these Terms.

16. Miscellaneous

These Terms and our Privacy Policy form the entire agreement between you and EQlibrium. If any provision is invalid, the rest remains in effect. We may assign our rights in a business transfer; you may not assign yours without our consent. The English version controls in any translation conflict.
